Please read these Terms of Service ("Terms") carefully before using the website at smartmanagementproperties.com (the "Website"), operated by the Smart Management Properties group of companies ("SMP", "we", "us", or "our").
Important — what these Terms cover and what they do not
These Terms govern your use of the Website only — for example, when you read information about SMP, contact us, or request a demonstration. They do not govern your use of the SMP smart-building management platform itself (the "Platform"). Access to and use of the Platform is provided to customers only under a separate Master Services Agreement (MSA) entered into between the relevant SMP entity and the customer. Nothing on this Website creates an entitlement for you to use the Platform.
1. Acceptance of Terms
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website. We may also require you to agree to additional terms before granting you access to certain features (for example, requesting a demonstration).
2. Who you are contracting with
The Website is operated by the SMP group, which comprises:
SMP IT Consultancy LLC-S.P.C, a UAE limited liability company, in respect of UAE-side activities and visitors located in the UAE or other GCC jurisdictions.
Smart Management Properties LLC, a Florida limited liability company, in respect of US-side activities and visitors located in the United States.
References to "SMP" in these Terms mean the relevant entity depending on the context. Customer-facing platform contracts are entered into between the customer and the appropriate group entity, as set out in the relevant MSA.
3. Information on the Website
We aim to keep the Website accurate and up to date, but we do not warrant that the Website is error-free or that all content is current. Information provided on the Website is for general information purposes only, does not constitute a binding offer, and does not create any commercial commitment by SMP. Any commercial relationship with SMP is governed by a separate written agreement (such as an MSA, NDA, or order form) executed by an authorised representative of the relevant SMP entity.

The "SMP" wordmark, the SMP logo, and "SMP SMART MANAGEMENT PROPERTIES" are trademarks of the SMP group. SMP SMART MANAGEMENT PROPERTIES is the subject of pending trademark applications in the United States (USPTO Serial No. 99279154, in International Class 042) and the United Arab Emirates (UAE Trademark Application No. 464681).
Nothing on the Website grants you any licence to use any SMP intellectual property except as expressly permitted in these Terms. You may not reproduce, distribute, modify, or create derivative works of any content on the Website without our prior written consent.
7. Privacy and cookies
Our handling of personal data through the Website is described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Notice. By using the Website, you acknowledge that you have read these documents.
8. Third-party links

To the maximum extent permitted by applicable law, SMP, the SMP group entities, and their respective directors, officers, employees, and service providers will not be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, goodwill, or anticipated savings, arising out of or in connection with your use of (or inability to use) the Website.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, without limitation, liability for fraud, fraudulent misrepresentation, or gross negligence).
11. Governing law and dispute resolution
These Terms are governed as follows, depending on the location from which you access the Website:
If you are accessing the Website primarily from the United States: these Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws provisions. Any dispute arising out of or in connection with these Terms or your use of the Website will be resolved in the state and federal courts located in Miami-Dade County, Florida, and you irrevocably consent to the jurisdiction of those courts.
If you are accessing the Website primarily from the United Arab Emirates or any other jurisdiction: these Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. Any dispute will be resolved by the competent courts of Abu Dhabi.
To the extent that any mandatory consumer-protection law of your country of residence grants you rights that cannot be waived, those rights are not affected by this section.
Where you have a separate written agreement with an SMP entity (such as an MSA or NDA), the governing-law and dispute-resolution provisions of that agreement prevail over this section in respect of matters falling within the scope of that agreement.
12. Changes to these Terms
We may update these Terms from time to time to reflect changes in our practices or legal requirements. The date at the top of these Terms will be updated when changes are made, and material changes will be highlighted on the Website where appropriate. Your continued use of the Website after changes are posted constitutes your acceptance of the updated Terms.
13. General
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later. These Terms constitute the entire agreement between you and SMP regarding your use of the Website and supersede any prior understanding.
